For Luxembourg SMEs (as defined by the commercial companies law), CLERC offers “Commissaire” services. As the law does not specify any particular qualifications for this function, more often than not this takes the form of a simple certification of conformity of the accounts with the accounting records.

In the view of CLERC’s partners, this simplification neglects the commissaire’s fundamental role and responsibility.

CLERC has therefore chosen an entirely different approach, seeking to provide companies' advisory boards and shareholders, as well as any other concerned third party, the reassurance that they seek.

The appointment of an external person, who is fully conscious of his or her role and responsibility presents a real added value and allows protection of the paying agent, the directors and the company shareholders.

This way of thinking is entirely in line with recent initiatives in terms of corporate governance.
